Terms of Service

Mindox

These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and PG Forge LLC ("Mindox", "we", "us", "our"). They govern your access to and use of our mobile applications, websites at mindox.app and related domains, and any related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 17, WHICH AFFECT HOW DISPUTES BETWEEN YOU AND MINDOX ARE RESOLVED.

By creating an account, downloading our app, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

To use the Services, you must:

  • Be at least 13 years old (some features require you to be at least 18).
  • Have the legal capacity to enter into a binding contract.
  • Not be barred from using the Services under applicable law.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

2.1 Creating an account

You must provide accurate information when you create an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.

2.2 Account responsibility

You agree to:

  • Keep your password confidential. Never share it with anyone, including support staff.
  • Where available, enable additional authentication factors that we offer:
    • Biometric unlock (Face ID, Touch ID, Android fingerprint) for your mobile app
    • Passkeys (Touch ID on Mac, Windows Hello, hardware security keys, etc.) for our web app
    • These features are convenience layers on top of your existing account. The biometric or passkey credential always stays on your own device; we never receive your biometric data.
  • Maintain at least one working recovery method (we recommend keeping a current email address that you control, since email-based password reset is the recovery path of last resort).
  • Notify us immediately at security@mindox.app if you suspect unauthorized access, or if you lose a device that has biometric unlock or a registered passkey for Mindox.
  • Take reasonable steps to revoke access from lost devices: sign out remotely from Settings → Devices → Log out all other devices, and remove any passkeys associated with the lost device from Settings → Security → Passkeys.

2.2a Passkeys and biometric authentication

If you choose to use passkey signin or biometric unlock, you understand and agree that:

  • These features depend on your device's operating system and hardware. We don't guarantee they'll work on every device. We don't control the underlying biometric / passkey technology — it's provided by Apple, Google, Microsoft, or the manufacturer of your security key.
  • Removing a biometric (e.g., disabling Face ID in iOS Settings) or wiping your device may disable biometric unlock for Mindox until you re-enroll. This is normal.
  • A passkey is tied to a specific device or to a sync ecosystem (iCloud Keychain, Google Password Manager). If you lose all your devices and all your synced passkeys, you can still recover your account by signing in with your email and password (which is why we require you to keep your email accurate).
  • You can have multiple passkeys registered to your Mindox account, and you can remove any of them at any time in Settings. Removed passkeys are invalidated on our server within seconds.
  • You can disable biometric unlock for Mindox specifically in Mindox Settings → Privacy & Security → Biometric Unlock without affecting how biometrics work in other apps on your device.

2.3 One person, one account

Each account is for a single individual. You may not share your account with others (other than through approved family or household sharing features).

3. The Services

3.1 What Mindox is

Mindox is a personal assistant that helps you capture, organize, search, and act on information about your life — including notes, reminders, media interests, shopping items, and (at your option) health-related logs.

3.2 What Mindox is NOT

MINDOX IS NOT A MEDICAL DEVICE. MINDOX DOES NOT DIAGNOSE, TREAT, PREVENT, OR CURE ANY DISEASE OR CONDITION. MINDOX DOES NOT PROVIDE MEDICAL ADVICE.

Information you record in Mindox, and any insights or patterns Mindox surfaces, are for your personal reference only. Always consult a qualified healthcare professional for medical questions or before making changes to medications, treatment, or lifestyle. Do not rely on Mindox in any medical emergency — call 911 (or your local emergency number) immediately.

Mindox is also not a substitute for professional financial, legal, or other professional advice.

3.3 AI-generated content

Some features of Mindox use artificial intelligence to transcribe speech, classify content, generate summaries, identify patterns, and answer questions. AI-generated output may contain errors, omissions, or inaccuracies. You should not rely on AI-generated output without independently verifying its accuracy, especially for any medical, financial, legal, or safety-related matter.

When Mindox communicates with you using AI (for example, AI-generated answers or summaries), we will identify that the response is from an AI assistant.

4. Subscription Plans and Payments

4.1 Free and paid tiers

Mindox offers a free tier and paid subscription tiers (currently "Mindox Plus" at $6.99/month or $49/year, and "Mindox Pro" at $14.99/month, and other tiers as we may offer them). Current pricing and feature comparisons are shown within the App at signup and in Settings → Subscription.

4.1a Plan limits and fair use

Each Plan has usage limits that determine how much you can use each feature — for example, voice transcription minutes per month, number of captures per month, total storage, maximum length of a single voice recording, and similar measures. Current Plan limits are listed in §5.5 below and within the App under Settings → Subscription.

Plan limits are not fixed in these Terms. We may modify Plan limits from time to time to reflect changes in our cost structure, the products we offer, and how we deliver them. If we modify Plan limits, we will provide notice as follows:

  • Increases (more generous limits) take effect immediately and we'll often communicate them as feature updates.
  • Decreases for new subscribers only take effect immediately for new sign-ups. Existing subscribers continue on the prior limits through the end of their current billing period.
  • Decreases that would apply to existing subscribers' current Plans require at least 30 days' advance email notice. During that notice period you may either (a) continue at the prior limits through the end of your current billing period and then move to the new limits, or (b) cancel your subscription and receive a prorated refund for the unused portion of your current billing period.

We also enforce reasonable anti-abuse measures to protect the service from misuse, including but not limited to: rate limits on signups, rate limits on excessively rapid usage, blocking of disposable email providers, verification challenges (such as CAPTCHA), and per-account caps designed to prevent abuse of free or low-tier resources. These anti-abuse measures are not advertised as features and may be adjusted without notice; legitimate users are extremely unlikely to encounter them in normal use. If you believe you've been incorrectly restricted, contact support@mindox.app.

4.2 Auto-renewal

PAID SUBSCRIPTIONS AUTO-RENEW. Unless you cancel before the end of your current billing period, your subscription will automatically renew at the then-current price. We will charge your payment method on or near the renewal date.

For annual subscriptions, we will send a renewal reminder email at least 14 days before renewal.

4.3 Cancellation

You can cancel at any time:

  • In-app: Settings → Subscription → Cancel.
  • Via your app store: if you subscribed through Apple App Store or Google Play, you must cancel through that store.
  • Via web: if you subscribed directly on our website, Settings → Subscription → Cancel.

Cancellation takes effect at the end of your current billing period. You will retain paid features until that date. We do not offer pro-rata refunds for partial periods, except where required by law (see Section 4.5).

4.4 Free trials

We may offer free trials. Unless you cancel before the trial ends, your subscription will auto-renew into a paid subscription at the then-current price. We will notify you before this conversion occurs.

4.5 Refunds

Refunds are at our discretion, except as required by applicable law. California, EU, and certain other residents may be entitled to specific refund rights — contact support@mindox.app to request a refund.

If you subscribed via Apple App Store or Google Play, refunds are governed by the policies of that store.

4.6 Price changes

We may change our subscription prices. We will give you at least 30 days' notice of any price increase, and you may cancel before the new price takes effect.

4.7 Taxes

Subscription prices may not include applicable sales tax, VAT, GST, or other taxes, which we may add at checkout depending on your location.

4.8 Add-on Packs (Consumable Purchases)

Mindox offers one-time consumable add-on packs that grant additional usage quota beyond your current tier. Examples include:

  • Voice Pack Small — adds 30 voice transcription minutes
  • Voice Pack Medium — adds 300 voice transcription minutes (available to paid subscribers only — Free-tier users should consider upgrading to Plus for ongoing higher quotas)
  • AI Q&A Pack Small — adds 100 AI Q&A queries

We may add or remove pack types at any time. Current pack availability, pricing, and quotas are listed in the App at the time of purchase.

Add-on packs are sold as Consumable In-App Purchases through Apple App Store or Google Play (when purchased in our mobile apps), or via Stripe Top-Up (when purchased on the web).

Pack credits behavior:

  • Plan credits (the quota included with your subscription tier) reset at the start of each billing cycle (monthly).
  • Add-on pack credits do not expire — they remain in your account until you use them.
  • When you make a request that consumes quota, your plan credits are consumed first (because they would expire); your pack credits are consumed second.
  • If you cancel your subscription, your unused pack credits remain available because they were purchased separately.
  • If you delete your account, all credits (plan and pack) are forfeited.

Pack pricing and content are listed in the app at the time of purchase. We may add, remove, or change pack pricing at any time; existing pack credits in your account are unaffected by future pricing changes.

Pack purchases are non-refundable except where required by law or by the platform's policies (Apple, Google, Stripe). If you receive a refund for a pack, your remaining pack credits are reversed accordingly. If you have already consumed the pack credits, the refund is processed against future usage or as a balance adjustment.

Pack purchase rate limit: to prevent fraud, we may limit the number of pack purchases per account per 24-hour period (currently 5 packs / 24 hours). You can contact support if you have a legitimate reason to purchase beyond this limit.

4.9 Chargebacks and Disputed Transactions

If you initiate a chargeback or dispute against your subscription or pack purchase without first contacting us to request a refund, we may:

  • Suspend your account pending resolution of the dispute.
  • Reverse any add-on pack credits that were funded by the disputed transaction.
  • Decline future purchases from the same payment method.
  • Provide reasonable transaction evidence to your card issuer or platform.

We strongly encourage you to email support@mindox.app before initiating a chargeback — most billing concerns can be resolved directly. We treat chargebacks as a last resort, not a customer-service channel.

4.10 International transactions

Subscription and pack pricing is in US dollars by default. If your payment method bills in another currency, your bank or card issuer will perform the conversion at their applicable rate. We may offer regional pricing in the future.

5. Acceptable Use

5.1 Prohibited uses

You agree NOT to use the Services to:

  • Violate any law, regulation, or third-party rights.
  • Upload or share content that is illegal, fraudulent, defamatory, harassing, or infringes others' rights.
  • Engage in unauthorized access to our systems or any third party's systems.
  • Interfere with the operation of the Services (e.g., by sending excessive requests, scraping, reverse-engineering, or distributing malware).
  • Use the Services to develop a competing product.
  • Misrepresent your identity or impersonate others.
  • Use automated systems (bots, scrapers) to access the Services without our written permission.
  • Use the Services in connection with any high-risk activity where failure could result in death, personal injury, or property damage (e.g., medical emergencies, life-support, navigation in safety-critical environments).
  • Bypass any rate limits, paywalls, or security controls.

5.2 Content you may not upload

  • Child sexual abuse material (CSAM) — zero tolerance; we report to NCMEC per 18 USC §2258A and cooperate with law enforcement.
  • Credible threats of violence, stalking content, or doxxing.
  • Malware, phishing payloads, or content designed to harm recipients.
  • Content you do not have the right to store or share (pirated media, copyrighted work without license, stolen credentials).

5.3 Enforcement

We reserve the right to suspend or terminate accounts that violate these rules. We may remove content that violates these Terms without prior notice, though we will generally notify you of significant actions affecting your account.

5.4 Intended Use

Mindox is designed for personal captures of your own thoughts, reminders, notes, lists, and events. It is optimized for short intentional captures (brain-dumps, reminders, voice notes, shopping lists). Mindox is not a general-purpose transcription service, continuous recording tool, or bulk content-processing platform. For those use cases, services like Otter, Rev, Descript, or Otter Business are purpose-built.

Specifically, you should not use Mindox to:

  • Systematically transcribe lectures, classes, meetings, or broadcasts.
  • Record clinical or therapy sessions (privacy + HIPAA implications for the patient).
  • Bulk-process audio or text files you did not originate as personal captures.
  • Circumvent usage limits by creating multiple accounts, using automation, or coordinating across users.

Using Mindox outside its intended use pattern may trigger enforcement under §5.3 and §5.5.

5.5 Usage Limits and Fair Use

Your subscription tier includes monthly usage limits. Current limits are published in the app (Settings → Usage) and on our website. Launch values (subject to adjustment based on observed usage):

Free tier:

  • Single-capture voice length: 5 minutes max
  • Monthly voice: 30 minutes
  • Single text capture: 10,000 characters (~1,500 words)
  • Monthly captures: 100
  • Total storage: 100 MB
  • Share creations: 30/month

Plus tier ($6.99/mo or $49/yr):

  • Single-capture voice length: 15 minutes max
  • Monthly voice: 300 minutes (5 hours)
  • Single text capture: 50,000 characters (~7,500 words)
  • Monthly captures: 500
  • Total storage: 1 GB
  • Share creations: 200/month

Pro tier ($14.99/mo):

  • Single-capture voice length: 30 minutes max
  • Monthly voice: 900 minutes (15 hours)
  • Single text capture: 200,000 characters
  • Monthly captures: 1,500
  • Total storage: 5 GB
  • Share creations: 1,000/month

What happens at limits:

  • When you approach a limit (90%+), we show you a notification with your current usage.
  • When you reach a limit, we reject the over-limit capture with a clear explanation — we do not silently truncate your audio or text.
  • You can upgrade your tier at any time for higher limits.
  • Limits reset monthly, on the first of the month in your local timezone.

Fair-use throttling: We may automatically throttle your account if we detect unusual patterns (e.g., 20× normal hourly usage in a single hour, which typically indicates automation or abuse). If your account is throttled, you'll see an in-app notification and can contact support if the throttle was applied in error.

Limit changes: We may adjust these limits from time to time based on infrastructure costs, product evolution, and observed usage patterns. We'll give you at least 30 days' notice before reducing a limit that affects your current subscription tier. Increasing limits (giving you more) may happen without notice.

Internal API quotas (third-party integrations). In addition to the monthly limits above, we apply per-tier daily caps specifically on calls to integrated third-party services (movie / music / event / weather / sport / health-device APIs). These operate separately and are intentionally daily — they exist to prevent any single user from depleting our shared third-party API quotas, which themselves typically reset on a daily cycle set by those providers. Approximate per-tier limits are published in our public usage docs and are subject to adjustment to maintain service quality. We may cache responses to reduce the number of upstream calls; cached responses do not count against your daily limit.

Sensitive data — what NOT to record. Mindox is not designed to store credit card numbers, Social Security numbers, banking account numbers, passwords, PINs, or other authentication credentials. Our system attempts to detect and redact these patterns at ingestion (see Privacy Policy §2.2), but no automatic detection is perfect. You are responsible for what you record. Do not use Mindox as a password manager, financial-records app, or sensitive-credentials store. If you do, we may redact your data but cannot guarantee detection of every form of sensitive content.

5.6 Recording Third Parties — Your Responsibility

Voice capture is a feature you control. When you use it, you are responsible for the legal consequences of any voices captured in the recording.

Voice and audio recording is regulated by multiple laws depending on where you and the other people in the recording are located:

  • Two-party consent jurisdictions (California, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania, Washington, and others) require all parties to consent to the recording.
  • One-party consent jurisdictions (most other US states) allow recording with the consent of one party (typically, you).
  • Federal wiretap law (18 USC §2511) generally requires at least one-party consent for electronic communications.
  • International jurisdictions (EU/UK/GDPR, Canada, Australia) have their own consent and notification requirements.
  • Workplace and educational settings often have additional rules — many employers and universities require prior notice before recording.

Your responsibilities:

  • Before recording any conversation that includes another person's voice, ensure you have the consent required by the applicable laws.
  • Do not use Mindox to record conversations or meetings where you lack the required consent.
  • Do not use Mindox to record clinical, therapeutic, legal, or confidential professional interactions unless you have explicit consent and the recording does not violate applicable professional confidentiality rules.
  • Do not use Mindox to record minors' voices without parental or guardian consent where required.
  • Do not record in private spaces (restrooms, changing rooms, private residences of others) where others have a reasonable expectation of privacy.

You represent and warrant that every voice recording you upload to Mindox includes all consents required under applicable law. You accept full responsibility for any legal consequences of uploading recordings that do not have the required consents.

What Mindox does to help:

  • The first time you use voice capture, we show you a reminder about consent.
  • Your screen stays on while you're actively recording — we prevent your device's automatic screen-timeout from interrupting a capture in progress, so you don't need to keep touching your phone or holding it up to keep recording. The recording indicator is visible for the entire time voice capture is active.
  • Because of this, your screen only turns off during a recording if you take a deliberate action (pressing the power button) or if something interrupts your device (e.g., an incoming call). If that happens, recording stops automatically — Mindox does not continue recording invisibly in the background. Whatever was captured up to that point is saved and processed normally, and you'll see a brief confirmation the next time you open the app.
  • We tell you about this behavior the first time you use voice capture, so you know what to expect before it happens rather than discovering it after losing part of a recording.
  • We do not identify speakers via biometric voiceprints (no voice-recognition technology).
  • Audio is deleted from our servers within 60 seconds of successful transcription (or within 24 hours if a retry was needed after a failed transcription attempt); we do not retain persistent audio recordings by default. See our Privacy Policy §6 for full retention details, including the optional 7-day retention setting.

What Mindox does NOT do:

  • We do not verify that your recordings are lawful before accepting them.
  • We do not notify third parties that they were recorded.
  • We do not provide legal advice about recording laws in your jurisdiction.

Indemnification: You indemnify and hold Mindox harmless from any claims, damages, or expenses arising from voice recordings you capture and upload, including claims by third parties whose voices appear in your recordings.

6. Content You Provide

6.1 Your content stays yours

You retain all rights in the content you provide to Mindox (notes, voice captures, images, etc.). We do not claim ownership of your content.

6.2 License you grant us

To operate the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, transcribe, classify, analyze, and display your content as necessary to provide the Services to you.

This license terminates when you delete the content or your account, except for retention required for backups, legal compliance, or aggregated/de-identified analytics that no longer identify you.

6.3 We will not use your content to train AI models

We commit that we will not use your content to train artificial intelligence or machine learning models without your separate, explicit, opt-in consent. This is consistent with our AI processing providers' standard data policies (see Privacy Policy §3 for details on how OpenAI and Azure OpenAI handle your content by default).

6.3a Voice transcription — how your audio is processed

When you record a voice capture, Mindox uses third-party speech-to-text services to convert audio to text. Our systems are designed to delete your raw audio within 60 seconds of successful transcription under normal operating conditions (or within 24 hours if transcription encounters an error). In rare cases of service disruption, deletion may be briefly delayed; we monitor for this and remediate promptly. We do not retain voice audio for any purpose other than producing the transcription, except where you've explicitly opted in to extended retention (see Privacy Policy §6).

Which service processes your audio depends on the nature of the content:

  • Non-health captures (Phase 1 and Phase 2 features): audio is processed by OpenAI (standard API tier) under our agreement with OpenAI. OpenAI does not use your content to train its models and deletes input audio per our API agreement.
  • Health-related captures (Phase 3 features — MEDICAL intent, symptom logs, medication logs, vitals, and related health content): audio is processed by Microsoft Azure OpenAI under a HIPAA Business Associate Agreement (BAA). Microsoft/Azure is HIPAA-eligible; Mindox executes a BAA with Microsoft before activating any Phase 3 health features. Audio is processed, transcribed, and deleted server-side immediately. No retention, no training.

6.4 You are responsible for your content

You represent that you have the right to provide all content you upload, and that doing so does not violate any third-party rights or applicable law.

6.5 Sharing

Mindox lets you share content with other people through several mechanisms.

6.5.1 Your warranties when sharing

When you share any content — a specific item, a list, a link, or a referral — you represent and warrant that:

  • You own the content, or you have the legal right and permission to share it.
  • The content does not infringe any third party's intellectual property, privacy, or other rights.
  • The content is not illegal, harassing, threatening, defamatory, obscene, or otherwise a violation of these Terms or applicable law.
  • You understand that public share links (URLs that open outside the Mindox app) can be viewed by anyone with the URL. If you do not want content to be publicly accessible, do not create a public share link.
  • You have obtained any required consent from third parties whose information appears in the shared content (for example, if you share a note that mentions another person by name or contains their personal details).

6.5.2 Recipient responsibilities

Recipients of shared content are bound by the following:

  • You may use the shared content for your own personal purposes.
  • You may not redistribute the shared content without permission from the original sharer.
  • You may not claim authorship of someone else's shared content.
  • Public share links are intended to be viewed by individuals. Automated scraping, bulk copying, or commercial redistribution of shared content is prohibited.

6.5.3 Our role

We deliver the content you choose to share to the recipients you designate (or to anyone who opens a public link you generated). We do not read, moderate, or endorse the content of individual shares. Your shared content is subject to our Privacy Policy (transient edge logs as described there).

We reserve the right — but are not obligated — to remove or disable any share link that we believe violates these Terms or is the subject of a valid legal complaint. Removal may occur without advance notice.

6.5.4 Rate limits and abuse

To protect the service and other users, we impose rate limits on sharing. Free tier: 10 shares per user per 24 hours. Plus tier: higher limit. We reserve the right to:

  • Adjust rate limits without prior notice
  • Revoke your sharing privileges if we detect abuse (spam, malicious content, harassment, high-volume automated sharing)
  • Disable any share link at our discretion if it violates these Terms or applicable law

6.5.5 Takedown process

If you believe a shared item infringes your rights or violates these Terms, email abuse@mindox.app with:

  • The URL of the share (e.g., mindox.app/share/[token])
  • The nature of the violation (copyright, harassment, illegal content, etc.)
  • Your contact information
  • If copyright: a good-faith statement of ownership and a sworn statement under penalty of perjury (DMCA requirement)

We review reports within 48 hours and will disable violating shares. For copyright complaints, we follow the DMCA notice-and-takedown process. False or bad-faith reports may subject the reporter to liability.

6.5.6 Indemnification (sharing-specific)

You agree to indemnify and hold Mindox harmless from any claims, damages, or expenses arising from content you share, including but not limited to claims of infringement, privacy violations, defamation, harassment, or illegality.

7. Intellectual Property

7.1 Mindox's IP

The Services, including software, designs, branding ("Mindox" name and logo), text, graphics, and all other materials we provide, are owned by Mindox or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Services without our written permission, except as expressly permitted by these Terms.

7.2 Feedback

If you send us feedback, suggestions, or ideas, we may use them without obligation to you.

7.3 DMCA / Copyright complaints

If you believe content on the Services infringes your copyright, send a DMCA notice to:

Your notice must comply with 17 U.S.C. § 512(c)(3).

8. Third-Party Services

The Services may interoperate with third-party services (e.g., Apple HealthKit, Google Fit, calendar services, grocery delivery providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or their content.

9. App Store Terms (Apple / Google)

If you downloaded the Services from the Apple App Store or Google Play, additional terms apply:

9.1 Apple

  • These Terms are between you and Mindox, not Apple. Apple is not responsible for the Services or any content.
  • You may use the Services only on Apple-branded products that you own or control.
  • Apple has no obligation to provide support for the Services.
  • If the Services fail to conform to a warranty, you may notify Apple, who will refund the purchase price (if any). Apple has no other warranty obligation.
  • Apple is not responsible for product liability claims, third-party intellectual property claims, or compliance with consumer protection laws related to the Services.
  • Apple is a third-party beneficiary of these Terms with the right to enforce them against you.

9.2 Google

  • The Services are subject to Google Play's own terms.
  • Google is not a party to these Terms and bears no responsibility for the Services.

10. Privacy

Our collection and use of your information is described in our Privacy Policy at mindox.app/privacy. Please read it carefully.

10.1 Security incident notification — your contact preferences

If a security incident affects your data, we will notify you per the methods described in our Privacy Policy §7.1, which include in-app notification at next app launch (always sent), email (with your prior consent for HIPAA security notices in Phase 3, or per state breach-notification law in Phase 1), and a public notice posted at mindox.app/security-notice.

You can:

  • Update your email address at any time in Settings → Account
  • Phase 3 only: enable or revoke consent for HIPAA security-notice emails in Settings → Privacy → "HIPAA security notices"

We do not collect physical addresses by default. If you specifically want paper-mail notifications, you can email privacy@mindox.app to provide an address; we'll add it to your account for legal-notice purposes only.

11. Health Information — Important Notice

If you use Mindox to log health-related information, please note:

  • Mindox is not a HIPAA Covered Entity in the consumer use case. When you use Mindox on your own (rather than through an employer plan or healthcare provider), HIPAA may not apply to your use, even though we voluntarily apply HIPAA-aligned safeguards.
  • State health-data laws may apply. California's CMIA, Washington's MHMDA, and other state laws provide additional protections.
  • Sharing changes things. When you share health information with a third party (a doctor, a family member, an employer benefit platform), that party becomes responsible for protecting it under their applicable obligations.
  • Mindox is not a covered "personal health record" service for purposes of the FTC Health Breach Notification Rule unless we expressly designate it as such; however, we maintain breach response capabilities consistent with that rule.

12. Service Changes; Beta Features

We may add, change, or remove features at any time. For material adverse changes to paid tiers, we will give you reasonable notice and the option to cancel.

We may offer "beta" or "preview" features. These are provided "as is", may be unstable, and may be discontinued without notice.

13. Suspension and Termination

13.1 Termination by you (account deletion)

You may delete your account at any time in Settings → Account → Delete Account, or by emailing privacy@mindox.app.

Soft-delete grace period: when you initiate account deletion, your account is immediately marked for deletion and you are signed out of all devices. For 30 days afterward, you can email support to restore your account — your data is preserved during this grace period.

Hard deletion (after 30 days): at the end of the grace period, your account is permanently deleted, including:

  • Your profile, settings, and preferences
  • All your captures (notes, voice transcripts, images, lists, events)
  • Audio files (already deleted within ~24 hours of capture per our retention policy)
  • Any active subscription is canceled (refunds per Section 4.5)
  • Any unused add-on pack credits are forfeited

Data we retain after deletion (as required by law or for legitimate business reasons):

  • Subscription and billing records: 7 years for tax purposes (US)
  • Audit logs of account-level actions: 2 years (Phase 1) / 6 years (Phase 3) — retained even after account deletion as required by law and security best practice. These do NOT include the content of your captures, only metadata about account events.
  • Anonymized aggregate analytics: indefinitely

13.2 Termination by us

We may suspend or terminate your account if:

  • You materially breach these Terms.
  • You engage in fraudulent or illegal activity (including chargeback abuse — see Section 4.9).
  • You exceed fair-use thresholds in a manner indicating abuse (see Section 5.5 — fair-use throttling).
  • We are required to do so by law or court order.
  • We discontinue the Services (with notice).

For non-emergency situations, we will give you reasonable notice and an opportunity to cure where appropriate. For fraud, abuse, or legally-required actions, we may act immediately.

13.3 Effect of termination

When your account is terminated by us:

  • Your access to the Services ends.
  • We will delete your data per the same flow as voluntary deletion (Section 13.1), including the 30-day soft-delete grace where appropriate (we may waive the grace period for fraud or legal-process cases).
  • You may export your data before termination if we provide reasonable opportunity (we cannot guarantee this for emergency suspensions).
  • Sections that by their nature should survive (e.g., disclaimers, limitations of liability, dispute resolution, indemnification) will survive.

13.4 Account recovery

If your account is terminated by us, you may appeal to support@mindox.app. We will review the circumstances and respond within 14 business days. We are not obligated to restore terminated accounts but will consider appeals in good faith.

If you forget your password and cannot recover via email, we offer manual identity verification through support — but we will never use voice biometrics for account recovery. Voice deepfakes are too easy to manufacture; we rely on email + payment-method verification + (when 2FA is enabled) backup codes.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT AI-GENERATED OUTPUT (INCLUDING TRANSCRIPTIONS, CLASSIFICATIONS, SUMMARIES, ANSWERS, AND PATTERN OBSERVATIONS) IS ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE. YOU ACKNOWLEDGE THAT AI MAY PRODUCE ERRORS AND THAT YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY OUTPUT BEFORE RELYING ON IT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
  • OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if we have been advised of the possibility of such damages. REVIEW STATE-BY-STATE — SOME STATES DO NOT PERMIT CERTAIN LIMITATIONS.

16. Indemnification

You agree to indemnify and hold harmless Mindox and its officers, directors, employees, and agents from any claim, demand, or expense (including reasonable attorneys' fees) arising out of:

  • Your use of the Services in violation of these Terms or applicable law.
  • Your content.
  • Your sharing of content with third parties.

We will give you prompt notice of any indemnified claim and will not settle without your consent (which you may not unreasonably withhold).

17. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

17.1 Informal resolution

Before filing any formal claim, you agree to first contact us at legal@mindox.app and attempt to resolve the dispute informally for at least 30 days.

17.2 Binding arbitration

If we cannot resolve the dispute informally, you and Mindox agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS in Santa Clara County, California, in accordance with JAMS's Streamlined Arbitration Rules (or, if those rules do not apply, JAMS's Comprehensive Arbitration Rules).

The arbitration will be conducted in English. The arbitrator's decision is final and binding.

EXCEPTIONS: You may bring claims (a) in small claims court if they qualify, (b) for intellectual property infringement, or (c) where arbitration is prohibited by law.

17.3 Class action waiver

YOU AND MINDOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. UNLESS BOTH AGREE OTHERWISE, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

17.4 30-day opt-out

You may opt out of this arbitration agreement by sending written notice to legal@mindox.app within 30 days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you opt out of the arbitration agreement.

17.5 Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. For disputes not subject to arbitration, you and Mindox consent to the exclusive jurisdiction of the state and federal courts in Santa Clara County, California.

18. General

18.1 Entire agreement

These Terms, together with our Privacy Policy and any additional terms you agree to (e.g., for paid plans or beta features), are the complete agreement between you and Mindox regarding the Services.

18.2 Changes

We may modify these Terms. If we make material changes, we will provide notice (e.g., by email or in-app). Continued use after the changes take effect means you accept them. If you do not accept, you must stop using the Services.

18.3 Severability

If any provision of these Terms is held unenforceable, the rest will remain in effect.

18.4 No waiver

Our failure to enforce a provision is not a waiver of our right to do so later.

18.5 Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

18.6 Notices

We may give notices by email (to the address on file), in-app, or by posting on our website. You may give notices to us at legal@mindox.app.

18.7 Force majeure

We are not liable for failures due to events beyond our reasonable control (natural disasters, war, government action, etc.).

18.8 Relationship

We are independent contractors; these Terms do not create a partnership, joint venture, employment, or agency relationship.

18.9 Export controls

You may not use the Services in violation of US export controls or sanctions.
